Application terms

The terms you accept when you apply: applications are received on a non-confidential basis, nothing creates an obligation or an offer, AI assists screening but people decide, and no one here is paid on an investment.

These terms apply when you submit an application to Blue Ring Venture Capital. They are shown in short form above the submit button and recorded with your submission.

1. No confidentiality

We review many companies, and our members may be evaluating, advising or already involved with businesses similar to yours. Information you submit at the application stage is received on a non-confidential basis. Do not include trade secrets, drawings, source code, customer lists or anything else you would not share on that footing. Personal information is handled under our privacy policy.

From the member working session onward, documents are handled under the group's member confidentiality terms, and a mutual non-disclosure agreement can be signed before diligence.

2. No obligation and no offer

Submitting an application does not oblige Blue Ring Venture Capital to review it, respond, introduce your company to any member, or invest. Blue Ring Venture Capital is a not-for-profit angel investor group relying on Ontario Securities Commission Instrument 32-508. It is not registered as a dealer or adviser, it does not itself invest, and it does not offer, sell, negotiate or recommend securities. Any investment is a decision of individual members, made directly with your company on terms you negotiate with them.

3. Accuracy

You confirm that the information you submit is true, complete and not misleading; that you are authorized to share it; and that you will tell us about material changes while your application is under review.

4. How we use and share it

We may share your submission with our members — who are accredited or self-certified investors under Ontario securities law and who receive it under confidentiality terms — and with service providers, including AI model providers located in the United States, to help us screen applications. 5. AI-assisted screening; people decide

We use AI tools to summarize applications and check them against our published criteria. They do not make decisions. A named member reviews every application and records the decision and the reasons. You may ask whether AI tools were used, for a plain-language explanation of the principal factors, for a human re-review, and to correct information. Use the privacy request form; we respond within 30 days.

6. Checks

You consent to reasonable reference checks and to our use of public records and third-party business data services to verify your application. Customer, supplier and professional references are contacted only with your knowledge, later in the process.

7. Fees

There is no application fee and no presentation fee. No member, volunteer or staff person of Blue Ring Venture Capital receives any commission, finder's fee or success fee tied to an investment in your company.

8. Companies outside Canada

Blue Ring Venture Capital members back Canadian companies. A company without a Canadian head office or at least 25% of payroll in Canada requires a review by counsel before any introduction to members, because of the scope of the exemption the group relies on, and that review typically adds one to two weeks. We will tell you at first reply if it applies to you.

9. Communications

You agree to receive emails about your application. Marketing emails — our newsletter and event invitations — are sent only if you opt in, and you can unsubscribe at any time.

10. Withdrawal and deletion

You may withdraw an application at any time through the contact form. We will stop processing it. Documents are deleted on the schedule in the privacy policy, except where securities or tax record-keeping requires us to retain a record.

11. Governing law

The laws of the Province of Ontario and the federal laws of Canada applicable there.
